In re       DECEASED.
      WALTER WOODS.

This is the last will and testament of me, Walter Woods of the city of Hamilton in the County of Wentworth, Manufacturer made and published this twelfth day of July one thousand nine hundred and twenty six:

  1. I revoke all former wills or other testamentary dispositions by me at any time heretofore made and declare this only to be and contain my last will and testament.
  2. I direct my executors hereinafter named to pay all my just debts, funeral and testamentary expenses and all Succession duties and inheritance taxes out of my general estate as soon as conveniently may be after my decease.
  3. I give and bequeath the following sums of money to the following persons and institutions, namely.
    1. To my brother William Woods, Winnipeg, Five thousand dollars.
    2. To my sister Mary Havill, Hamilton, Three thousand dollars.
    3. To my nephew William Havill, Hamilton, Five hundred dollars
    4. To my nephew Edward Havill, Hamilton, Five hundred dollars.
    5. To my niece Margaret Havill, Hamilton, Five hundred dollars.
    6. To my niece Grace Havill, Hamilton, Five hundred dollars.
    7. To my nephew Dr. Edward Jeffrey, Toronto, Five hundred dollars.
    8. To my nephew Murray Jeffrey, Toronto, Five hundred dollars.
    9. To my nephew Walter W. Jeffrey, Toronto, Five hundred dollars.
    10. To my niece Grace Sheriff, Toronto, Five hundred dollars.
    11. To my niece Anna Miller, Toronto, one thousand dollars.
    12. To my niece Mary Henderson, Brandon, Manitoba, Five hundred dollars.
    13. To my niece Grace Bell, Winnipeg, Manitoba, Five hundred dollars.
    14. To my niece Nora Wadsworth, Montreal, one thousand dollars.
    15. To my niece Mrs. Ernest Kerr, Montreal, Five hundred dollars.
    16. To my niece Mrs. Peter Henderson, Montreal, Five hundred dollars.
    17. To my nephew George W. Turnbull, Windsor, Five hundred dollars.
    18. Young Mens Christian Association, Hamilton, one thousand dollars.
    19. Young Womens Christian Association, Hamilton, one thousand dollars.
    20. Salvation Army, Hamilton, one thousand dollars.
    21. Boys Home, Hamilton, Five hundred dollars.
    22. Girls home, Hamilton, Five hundred dollars.
    23. Childrens Aid Society, Hamilton, Two hundred dollars.
    24. Babies Dispensary, Hamilton, Two hundred dollars.
    25. Mountain Sanatorium, Hamilton, Five hundred dollars.
    26. Shantymen's Association, Toronto, Two hundred dollars.
    27. Charlton Avenue and West Mount United Church Missions Fund, One thousand dollars.
    28. Garrison Avenue and Westmount United Church Sunday School fund, Two hundred dollars.
    29. Carleton Avenue and Westmount United Church Boy Scouts, One hundred dollars.
  4. I nominate constitute and appoint John Harvey Pickett, John Allen Pottruff, John Malcolm Proudfoot, Ernest Fisk Clarke and Stephen Frederick Washington, Executors of this my will and Trustees of my estate.
  5. I give and bequeath to my said Trustees two thousand five hundred shares of the Capital stock to which I am entitled in a new Company called Walter Woods Limited and being a private company which has recently received its Letters Patent of Incorporation to hold in trust to and for the following purposes and under the following conditions, that is to say:
    • (a) To hold the same in their names until sold and transferred as hereinafter provided and to vote thereon at all meetings of shareholders provided however, that in the event of a difference of opinion as to how any vote shall be cast such vote shall be cast as the majority of my said Trustees shall determine.
    • (b) To sell and transfer three hundred shares of said capital stock to my first four named Trustees as soon after my decease as conveniently may be at their face value of one hundred dollars per share payable in cash on transfer.
    • ( c) To sell and transfer the remainder of my said shares from time to time to any shareholders of the Company or other persons selected by the Board of Directors of the Company subject to the By-laws of the Company at a price satisfactory to all of my Trustees, provided however that in the event of their failing to all agree upon such price such price shall then be determine by the auditor of the Company.
    • (d) To pay all dividends of my said shares to my daughter Grace Mockridge Woods.
    • (e) The proceeds of the sale of all my said shares shall fall into and form part of my residuary estate.
    • (f) In the event of a vacancy for any cause whatsoever among my said first four named Trustees, the three remaining or continuing Trustees shall select another Trustee to fill the vacancy who must also be a shareholder of the company, the selection of the majority of my said three continuing Trustees to be the fourth Trustee.
    • (g) In the event of the death of my said Trustee Stephen Frederick Washington or in the event of his desiring to be discharged or refusing or becoming unfit to act or incapable of acting as such trustee the majority of my remaining or continuing Trustees shall select another Trustee in his place and stead and it is my wish that the said Stephen Frederick Washington's partner Frederick Richard Martin shall be selected.
    • (h) Each Trustee selected under the provisions hereof shall have the like powers as is herein given to the Trustees whose place he is selected to fill;
  6. I give, devise and bequeath all the rest residue and remainder of my estate of all and every kind nature and description whatsoever and wheresoever situate to my said daughter Grace Mockridge Woods, absolutely.

THIS IS a Codicil to the last will and testament of me, WALTER WOODS, hereunto annexed, which bears date the twelfth day of July, one thousand nine hundred and twenty six.
I WILL AND DIRECT that the name JOHN MALCOLM PROUDFOOT in the fourth paragraph of my said will be struck out and the name John McNab Proudfoot inserted in lieu thereof.
This Codicil is made and published this 23rd day of March, one thousand nine hundred and twenty seven.

SIGNED PUBLISHED and DECLARED by the said Walter Woods as a Codicil to his last will and testament in the presence of us both present at the same time, who, in his presence at his request and in the presence of each other have hereunto subscribed our names as witnesses.
